This Podcast Guest Release Form (“Agreement”) is made and entered into as of ___________________________[DATE] by and between LosRadio.com LLC, a limited liability company organized and existing under the laws of the State of New Jersey (“Company”), and ___________________________[GUEST NAME], reachable at ___________________________[GUEST PHONE NUMBER] (“Guest”).

WHEREAS, Company produces podcasts & digital content, including ________________________________________________________________[NAME OF PRODUCTION] (collectively, the “Podcast”); and

WHEREAS, Guest desires to participate as a guest on one or more of the Podcast or Digital Content (the “Appearance”);

NOW, THEREFORE, in consideration of the foregoing premises and the mutual covenants contained herein, the parties agree as follows:

Recording and Distribution. Guest grants to Company the exclusive, irrevocable, worldwide right and license to record, edit, reproduce, distribute, exhibit, exploit, and otherwise use the Guest’s performance on the Appearance (the “Recording”) in any and all media, whether now known or hereafter invented, including but not limited to the Podcasts, on-demand platforms, and social media.

Likeness and Use in Advertising. Guest further grants to Company the non-exclusive, irrevocable, worldwide right and license to use Guest’s name, image, and likeness (collectively, “Likeness”) for advertising and promotional purposes related to the Podcasts. This includes, but is not limited to, the use of Likeness in clips, sizzle reels, commercials, and social media posts promoting the Podcasts.

Representations and Warranties. Guest represents and warrants that Guest has the full right, power, and authority to enter into this Agreement and to grant the rights and licenses set forth herein.

No Monetary Compensation. Guest acknowledges that Guest will not receive any monetary compensation for the Appearance or for the use of Guest’s Recording or Likeness hereunder.

Indemnification. Guest agrees to indemnify and hold harmless Company and its officers, directors, employees, agents, and affiliates from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to Guest’s breach of this Agreement or Guest’s Appearance.

Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of [STATE], without regard to its conflict of laws principles.

Severability. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
